Disc Solutions Ltd Trading Terms and Conditions

1) General – For the purpose of this agreement the customer will be the invoicee whom will abide to the trading terms of Disc Solutions as listed below.
2) Contract - No contract exists between the customer and Disc Solutions until Disc Solution acknowledges and accepts the customer’s order.
3) Cancellation – Once a contract exists between Disc Solutions and the customer then any cancellation by the customer can only take place with the agreement of Disc Solutions and on terms that will indemnify Disc Solutions of all losses.
4) Delivery – The goods will be deemed delivered when the customer collects or a courier delivers to a destination advised by the customer.
5) Ownership – Ownership of the goods (products supplied by Disc Solutions) shall not pass to the customer until Disc Solutions has received full payment for the full invoice price. Disc Solutions reserve the right to collect stock and/or serve an injunction if goods are not paid for within agreed terms.
6) Restriction of Liability – No claim of any kind against Disc Solutions concerning any fault or defect with goods/services supplied by Disc Solutions shall be greater than the cost of that goods/service against which the claim has been made. Under no circumstances will Disc Solutions be liable for any consequential damages. Disc Solutions shall not be liable for any loss or damage resulting in delay caused by strikes, industrial disputes, energy shortage, acts of terrorism, acts of God, travel disruption or any circumstances beyond our control.
7) Copyright – It is the sole responsibility of the customer to obtain all the required licenses, including MCPS and pay all relevant fees/royalties to copyright owners. The customer undertakes to indemnify Disc Solutions from any claims regarding copyright obligations.
8) Acceptance - Disc Solutions reserves the right to refuse orders or cancel previously accepted orders should an order lead to an infringement of any contractual or legal rights or be deemed offensive, obscene or damaging to the reputation of Disc Solutions. In no event will Disc Solutions be liable for any such refusal or cancellation.
9) Payment Terms– Any goods supplied by Disc Solutions on credit to the customer should be paid for within the terms of the credit agreement namely 30 days from date of invoice. Disc Solutions reserve the right to charge interest on any overdue invoice at the current bank interest rate plus 2%.
10) Law and Jurisdiction – The contract between Disc Solutions and the customer shall be governed by English Law and be subject to the jurisdiction of English courts.
